TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, INCLUDING ALL CONTENT, MATERIALS, AND FUNCTIONALITY ON THE SITE, ARE PROVIDED “AS IS”, AND PYC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT OF INTELLECTUAL PROPERTY, AND FITNESS FOR ANY PARTICULAR PURPOSE. PYC FURTHER DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE INFORMATION, TEXT, GRAPHICS, LINKS, OR OTHER ITEMS CONTAINED WITHIN THE MATERIALS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PYC OR ANY OF ITS AFFILIATES BE LIABLE TO YOU OR TO ANY THIRD PARTY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, THESE TERMS, OR ANY PRODUCTS OR SERVICES AVAILABLE THROUGH THE SITE, EVEN IF PYC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PYC OR ANY OF ITS AFFILIATIES’ TOTAL LIABILITY TO YOU IN CONNECTION WITH THESE TERMS OR YOUR ACCESS TO OR USE OF ANY PART OF THIS SITE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO PYC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Indemnity
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless PYC, our affiliates, parents, subsidiaries, officers, employees, agents, representatives, suppliers, contractors, successors, and assigns harmless from and against any and all claims, losses, liabilities, damages, costs and expenses (including, without limitation, reasonable attorneys’ fees), arising out of or relating to your violation of the terms and conditions of these Terms or your use of the Site, including but not limited to your access to, use, or misuse of User Content, PYC Content, services, or products other than as expressly permitted by these Terms, or your use of any information obtained from the Site. We reserve the right to assume the exclusive defense and control of any matter which is subject to indemnification under this Section. In such case, you agree to cooperate with any reasonable requests assisting in our defense of such matter. You agree not to settle any matter without our prior written consent.
Geographic Restrictions

Third-Party Websites
This Site may hyperlink to websites not maintained by or related to PYC. Hyperlinks are provided for your convenience only and not as a referral or endorsement by us of any other entity or the content on such external websites. They are not sponsored by or affiliated with this Site or PYC, and we make no representations or warranties about the content, completeness, or accuracy of those third-party websites. Information you submit at a third-party website accessible from this Site is subject to that website’s privacy policy, and we have no control over how your information is collected, used, or otherwise handled. If you access any linked third-party websites, you do so at your own risk.
Right to Terminate
PYC reserves the right, in its sole discretion, to restrict, suspend, or terminate these Terms and your access to all or any part of the Site or PYC Content at any time and for any reason without prior notice or liability. PYC reserves the right to change, suspend, or discontinue all or any part of the Site or PYC Content at any time without prior notice or liability.
The following sections of these Terms survive termination of your access to and use of the Site: Proprietary Rights, Disclaimer and Limitation of Liability, Indemnity, Dispute Resolution by Binding Arbitration, Limitation of Time to File Claims, Governing Law, and Miscellaneous.
Dispute Resolution by Binding Arbitration
Notice. PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS.
Jury Trial Waiver. To the maximum extent permitted by law, you and we waive any right to trial by jury in the event of a lawsuit arising out of or related to these Terms or the Site. This jury trial waiver shall not affect the Arbitration Agreement below (including the jury trial waiver contained therein). You and we each represent that this waiver is given knowingly, willingly, and voluntarily.
Agreement to Arbitrate. This Section is referred to as the “Arbitration Agreement.” You agree that any and all disputes or claims that have arisen or may arise between you and PYC whether relating to these Terms (including any alleged breach thereof), this Site, any advertising, any aspect of the relationship between you and us, or otherwise, shall be resolved exclusively through final and binding arbitration administered by National Arbitration and Meditation (“NAM”), rather than a court, in accordance with the terms of this Arbitration Agreement, except that you may assert individual claims in small claims court, if your claims qualify. Further, this Arbitration Agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies, and such agencies can, if the law allows, seek relief against us on your behalf. You agree that, by entering into this Arbitration Agreement, you and PYC are each waiving the right to a trial by jury or to participate in a class action. Your rights will be determined by a neutral arbitrator, not a judge or jury.
Prohibition of Class and Representative Actions and Non-Individualized Relief. YOU AND PYC AGREE THAT WE MAY EACH BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND PYC AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAIM(S), EXCEPT THAT YOU MAY PURSUE A CLAIM FOR AND THE ARBITRATOR MAY AWARD PUBLIC INJUNCTIVE RELIEF UNDER APPLICABLE LAW TO THE EXTENT REQUIRED FOR THE ENFORCEABILITY OF THIS PROVISION.
Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedures. We are always interested in resolving any disputes amicably and efficiently, and most user concerns regarding the Site can be resolved quickly and to the user’s satisfaction by emailing us at [insert]. If such efforts prove unsuccessful, a party who intends to seek arbitration or file a claim in small claims court must first send to the other, by certified mail, a written Notice of Dispute (“Notice”). The Notice to PYC should be sent to [insert] (“Notice Address”). The Notice must (a) include the claimant’s, name, address, and email address; (b) describe the nature and basis of the claim or dispute; (c) set forth the nature and basis of the specific relief sought, including the damages sought, if any, and a detailed calculation for them; and (d) include a personally signed statement from the claimant (and not their counsel) verifying the accuracy of the contents of the Notice. The Notice must be individualized, meaning it can only concern your dispute and no other person’s dispute.
After the receipt of a completed Notice, the parties shall engage in a good faith effort to resolve the dispute for a period of 60 days (which can be extended by agreement). If PYC and you do not resolve the claim within 60 calendar days after the Notice is received, you or PYC may commence an arbitration proceeding or a small claims court proceeding (if permitted by small claims court rules). During the arbitration, the amount of any settlement offer made by PYC or you shall not be disclosed to the arbitrator until after the arbitrator determines the amount, if any, to which you or PYC s is entitled. Compliance with this Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedures section is a condition precedent to initiating arbitration.
Arbitration Procedures. The arbitration proceedings shall be heard by one independent arbitrator who shall be a retired or former judge or an attorney with at least 10 years of experience. The arbitration shall be held in accordance with the then-existing Comprehensive Dispute Resolution Rules in effect for NAM, as modified by this Arbitration Agreement. If the administrator is unwilling or unavailable to administer consistent with these Terms, another arbitration provider will be selected by the parties that will do so. If the parties are unable to select an administrator by mutual consent, the Administrator will be selected by a court with jurisdiction pursuant to Section 5 of the Federal Arbitration Act, 9 U.S.C. §§ 1-16 (“FAA”). All matters within the scope of the FAA will be governed by it and not by any state arbitration law. Notwithstanding any language in this Arbitration Agreement to the contrary, no arbitration may be administered by any administrator that has in place a formal or informal policy that is inconsistent with the Prohibition of Class and Representative Actions and Non-Individualized Relief, without the consent of all parties to the arbitration.
Jury Trials Prohibited; Other Limitations on Legal Rights. You and PYC waive any right to a jury trial for such disputes. The rules in arbitration are different from the rules that apply in court. There is no judge or jury, and review is limited, but an arbitrator can award the same damages and relief, and must honor the same limitations stated in these Terms, as a court would.
Results. In reaching his or her decision, the arbitrator shall follow these Terms, shall be bound to apply the applicable law and shall not rule inconsistently with the applicable law. The arbitrator shall include in his or her award any relief he or she deems proper in terms of money damages (with interest on unpaid amounts from the date due at the maximum rate allowable by law), and attorneys’ fees and costs. The award of the arbitrator shall be conclusive and binding upon all parties hereto and judgment upon the award may be entered in any court of competent jurisdiction.
More Information. If you have a question about the arbitration process or to obtain a current copy of the Comprehensive Dispute Resolution Rules and Procedures and/or fee schedule, NAM’s Commercial Dept. can be contacted at (800) 358-2550 or by NAM’s website at www.namadr.com.
Confidentiality. Other than as many required by law, all aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, shall remain confidential and not be disclosed to anyone other than the parties to these Terms.
Severability. If a court decides that any term or provision of this Arbitration Agreement other than the Prohibition of Class and Representative Actions and Non-Individualized Relief paragraph above is invalid or unenforceable, the parties agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement shall be enforceable as so modified. If a court decides that any provision in the Prohibition of Class and Representative Actions and Non-Individualized Relief paragraph is invalid or unenforceable, then the entirety of this Arbitration Agreement shall be null and void, unless such provisions are deemed to be invalid or unenforceable solely with respect to claims for public injunctive relief. The remainder of these Terms will continue to apply.
Limitation of Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
Governing Law
Subject to the Arbitration Agreement above, all matters relating to the Site and these Terms, including without limitation the construction, validity, interpretation, and enforceability of these Terms, shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia in the United States of America without giving effect to the conflict of laws rules thereof. With respect to any disputes or claims which are not subject to arbitration as set forth herein and/or for entering any judgment on an arbitration award, you and PYC agree to submit to the personal and exclusive jurisdiction and venue of courts in the Commonwealth of Virginia. You waive any and all objections to the exclusive jurisdiction over you by such courts and to venue in such courts.
Miscellaneous
You and PYC acknowledge and agree that no partnership has been formed. Neither you nor us have the power or the authority to obligate or bind the other.
On certain areas of our Site, you may be given the ability to provide us with personally identifiable information. Please read our Privacy Policy for more information about our information collection and use practices, which applies to information you submit on this Site. Important and private information should be protected by you. We are not liable for protection of privacy of electronic mail or other information transferred through the Internet or any other network that you may use.
You may not assign or transfer these Terms or your rights and obligations under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign the Terms or any of our rights or obligations under these Terms at any time without notice.
No waiver by PYC of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or waiver of any other term or condition, and any failure of PYC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provision of these Terms will continue in full force and effect. The section headings are provided merely for convenience and shall not be given any legal import. These Terms constitute the entire agreement between you and PYC regarding the use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
